Terms governing wholesale purchases made on macrigi.com by businesses, professional Wholesalers and Buyers.
Read the document by section
1Parties and B2B eligibility
These Terms govern purchases on macrigi.com between Macrigi Ltd, a company registered in England and Wales under company number 09787379, with registered office at 207 High Street, Tunstall, Stoke-on-Trent ST6 5EG, England and VAT number GB 244359401 ("Macrigi"), and the business registered as a professional Wholesaler or Buyer (the "Customer"). The representative confirms that they are at least 18 years old, are authorised to bind the business, and are purchasing for resale, distribution, professional use or supply to other businesses, and not as a consumer.
2Registration and verification
Customer registration is free. Macrigi may verify company and tax details, licences, beneficial owners, addresses and the representative’s authority. The account must be kept accurate and secure. False or unverifiable information may lead to refusal, suspension or closure.
3Role of the parties
The Customer contracts to purchase from Macrigi. Macrigi receives payment, confirms the order, issues the invoice to the Customer and manages any approved refunds. The Producer prepares and physically dispatches the goods under its supply relationship with Macrigi, but does not enter into a direct contract of sale with the Customer.
4Products and information
Descriptions, quantities, net weight, measurements and essential characteristics must match the product listing, subject to legal tolerances or any expressly stated variation. Images, colours or packaging may vary only in non-material respects. All products are subject to availability and applicable legal and licensing requirements.
5Order and formation of the contract
The Customer reviews and submits the order and pays in advance through the platform. The first email confirms receipt and payment only. Macrigi then checks availability and the Producer’s confirmation. The contract is formed when Macrigi sends an express acceptance or, if earlier, a dispatch confirmation. Before acceptance, the Customer may withdraw the order and receive a full refund; after acceptance there is no general right to cancel simply because the Customer has changed its mind.
6Unavailability and errors
If an order cannot be accepted, Macrigi will cancel it and issue a full refund. If an obvious pricing error is identified before acceptance, Macrigi will offer the correct price or cancel the order and refund it. Once an order has been accepted, the price cannot be increased unilaterally.
7Prices, taxes and payment
Prices on macrigi.com are shown exclusive of VAT. VAT, delivery charges, duties and other charges are shown separately before confirmation where they can be determined. The final price is the amount shown in the currency selected at checkout. The Customer is responsible for its own bank or currency-conversion charges. Accepted payment methods are those available at checkout, including PayPal and Stripe where enabled.
8Quantities and minimums
A product may be subject to minimum quantities, order multiples, required case sizes or minimum order values stated on the product page. Changes apply only to future orders. The Customer is responsible for ensuring that the purchase is suitable for its business requirements, except where a statement is expressly incorporated into the order.
9Delivery, risk and title
Delivery charges, method, destination, estimated timing, any applicable Incoterm and the point at which risk passes are set out in the order. Where Macrigi arranges a courier, it acts as a logistics intermediary and not as the carrier. Unless otherwise stated, risk passes on delivery to the agreed address and title passes once payment has been received in full. Estimated delivery times are not guaranteed unless expressly agreed in writing.
10Import and resale
The Customer is responsible for checking that importation, possession, use and resale are lawful in the destination country and for supplying accurate customs information. Duties, import taxes, licences and authorisations are the Customer’s responsibility unless expressly stated otherwise. Macrigi may refuse destinations or products subject to restrictions.
11Inspection, claims and returns
The Customer must inspect the delivery. Visible damage, compromised packaging or missing quantities must be reported through the platform within 48 hours, with photographs and supporting documents. Defects that were not reasonably apparent on delivery must be reported promptly and in any event within 7 days of discovery. The Customer must retain the goods, packaging and labels and must not use or dispose of disputed products except where required for safety. These reporting periods do not remove any rights that cannot lawfully be excluded.
12Remedies
Macrigi may obtain information from the Producer and the carrier and may authorise completion of the delivery, replacement, a partial refund or a full refund. No return should be sent without instructions. There is no general B2B cooling-off right. Macrigi manages any approved refund to the Customer.
13Liability
Macrigi is responsible for the proper contractual administration of the order. To the reasonable extent permitted by law, liability for indirect loss, loss of profit and loss of opportunity is excluded; total liability in relation to an order is limited to the amount paid for that order. No limitation applies to fraud, death or personal injury caused by negligence, title, or any other liability that cannot lawfully be limited. These exclusions are subject to the Unfair Contract Terms Act 1977.
14Force majeure
Neither party is liable for delay caused by events outside its reasonable control, provided it informs the other party and takes reasonable steps to reduce the impact. If the event continues for more than 30 days, Macrigi or the Customer may cancel the unperformed part of the order; the Customer will be refunded for products not delivered.
15Reviews
The Customer may review only completed and verified purchases, and reviews must be accurate and relevant. False, abusive, promotional, duplicate or undisclosed incentivised reviews are prohibited. Macrigi may moderate reviews but will not remove a genuine review simply because it is negative.
16Notices and disputes
Notices may be sent through the platform, to the registered email address or by post to Macrigi’s registered office. The parties will first attempt to resolve disputes amicably. The laws of England and Wales apply and, subject to any mandatory rules, the courts of England and Wales have exclusive jurisdiction. If different language versions diverge, the English version prevails.
17Entire agreement and records
The order, acceptance, product listing, these Terms and the policies referred to in them constitute the entire agreement. Macrigi retains electronic copies of orders, acceptances, invoices and the applicable version of these Terms for the legally required period. No amendment applies retrospectively to orders already accepted.
