1Parties and acceptance

This agreement is between Macrigi Ltd, a company registered in England and Wales under company number 09787379, with registered office at 207 High Street, Tunstall, Stoke-on-Trent ST6 5EG, England and VAT number GB 244359401 ("Macrigi"), and the professional user approved as an Affiliate. Acceptance takes place electronically through the platform and the agreement takes effect when the account is activated.

2Programme

Macrigi provides a personal link containing the Affiliate’s identifier. The Affiliate may share that link to promote macrigi.com, Producer plans and products, but may not represent Macrigi, negotiate terms, collect payments, sign contracts or alter offers.

3Tracking and attribution

Initial attribution is retained for 90 days from the first tracked visit, subject to any consent required for non-essential technologies. If the user registers or purchases during that period and is recognised by the system, the account is linked to the Affiliate. Once linked, qualifying sales and repeat orders generate commission while this agreement remains active. No retrospective attribution or commission is available where there is no valid technical record.

4Commission

The Affiliate earns 6% on Producer membership packages and 6% on sales and repeat orders from attributed customers. Commission is calculated on the net taxable amount actually received, excluding VAT, delivery charges, cancellations, returns, refunds and chargebacks. Commission becomes due only once the transaction has been completed and paid.

5Statements and payment

A monthly statement is provided and payment is made by bank transfer within 30 days after receipt of an invoice or other valid tax document required in the Affiliate’s country, provided all required details are complete. Subsequent reversals may be set off against amounts otherwise due. The Affiliate is not entitled to reimbursement of expenses.

6Permitted promotion

The Affiliate must use approved materials, communicate accurate and up-to-date terms, and make the promotional nature of the link clear where required. The Affiliate must comply with applicable advertising, email-marketing, social-media, intellectual-property, sanctions and privacy rules in the countries concerned.

7Prohibited activity

Spam, cookie stuffing, self-referrals, sham purchases, misleading domains or advertisements, unauthorised use of the brand, promises of discounts that do not exist, false information, interference with tracking and any fraudulent method are prohibited. Macrigi may cancel commission linked to fraudulent or invalid transactions.

8Independence and tax

The Affiliate acts independently, without fixed working hours, subordination, territorial exclusivity, partnership status or authority to represent Macrigi, and is responsible for its own costs and tax, social-security, insurance and licensing obligations.

9Trade marks and content

The Affiliate receives a personal, limited, revocable and non-transferable licence to use approved materials while this agreement remains in force. Altering the logo, registering confusingly similar trade marks or domains, and any use that damages Macrigi’s reputation or rights are prohibited.

10Data and confidentiality

The Affiliate has no general entitlement to customer data and must not create unauthorised records. Data processing and tracking are governed by the Macrigi Privacy Policy and Cookie Policy. Confidential information and credentials must be protected and incidents reported without delay.

11Duration and termination

The agreement continues until terminated. Either party may terminate on 30 days’ notice. Macrigi may suspend or terminate immediately in cases of fraud, abuse, serious breach or unlawful use of trade marks, data or tools. The 90-day inactivity rule does not apply to Affiliates.

12Effect of termination

Only commission already earned remains payable. No commission accrues on new subscriptions, sales or repeat orders after termination. The Affiliate must remove referral links and materials and stop using the Macrigi brand.

13Liability

Nothing excludes liability for fraud, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded. To the reasonable extent permitted by law, liability for indirect loss is excluded. The Affiliate is responsible for its own communications, breaches and unauthorised promotional activity.

14Governing law, jurisdiction and general provisions

The parties will first attempt to resolve disputes amicably. The laws of England and Wales apply and, subject to any mandatory rules, the courts of England and Wales have exclusive jurisdiction. The agreement may not be assigned without consent. Partial invalidity does not affect the remaining provisions and failure to enforce a right is not a waiver. If language versions differ, the English version prevails.
